Terms of Service

These Terms of Service (“Terms”) govern your use of Band Way: the website at bandway.app, the Band Way desktop application, and the sharing portal at share.bandway.app (together, the “Service”). By using the Service or joining the waitlist, you agree to these Terms.

1. The Service

Band Way is a multitrack rehearsal, recording, and playback studio for small bands. It includes a desktop application for macOS and Windows, a web portal for sharing songs and setlists, and this website. The Service is currently in a pre-release private alpha.

2. Eligibility & acceptance

You must be at least 16 years old and able to form a binding agreement. By creating an account, joining the waitlist, or otherwise using the Service, you accept these Terms.

3. Alpha software — provided “as is”

The product is pre-release, experimental software. It is provided “as is” and “as available”, without warranties of any kind. Features may change, break, or be removed, and the Service may be interrupted or discontinued at any time. Data, including your recordings, may be lost. Do not rely on it for mission-critical work, and keep your own backups of your material.

4. Your account

You sign in with your email address and a one-time code we send you. You are responsible for keeping access to that email and for activity under your account. You can delete your account at any time, which removes your content from our active systems.

5. Your content and the licence you grant us

You keep all ownership rights to the audio and other material you record, import, or upload (“Your Content”). We claim no ownership of it.

To operate the Service, you grant Band Way a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, process, and display Your Content solely in order to provide the Service to you and to the people you choose to share with. This includes things like storing your files, generating waveforms, applying key and tempo processing, and streaming audio to listeners you have shared with. This licence exists only so the Service can work; it ends when you delete the content or your account, except for residual backup copies that age out on a rolling basis and anything you have already shared with others.

6. Rights, permissions & copyright

You are responsible for Your Content. You represent and warrant that you own it or have all the rights, licences, and permissions needed to upload and share it, and that doing so does not infringe anyone’s rights or break the law.

Do not upload or share content you do not have the rights to. Commercial multitrack or backing-track packs and other third-party recordings are often licensed for personal use only and may not be uploaded, hosted, or shared through the Service without permission from the rights holder. You are solely responsible for your sharing choices.

7. Copyright complaints (notice & takedown)

If you believe content on the Service infringes your copyright, email hi@bandway.app with: (a) identification of the work you say is infringed; (b) the infringing material and where it is on the Service; (c) your contact details; and (d) a good-faith statement that the use is not authorised. We will review valid notices, remove infringing material, and may suspend or terminate accounts of repeat infringers.

8. Acceptable use

You agree not to misuse the Service, including by: uploading or sharing unlawful or infringing content; attempting to disrupt or gain unauthorized access to the Service; scraping it at scale; or using it for any unlawful purpose.

9. Intellectual property

The Band Way name, logo, website, application, and content are owned by Band Way and protected by applicable laws. You may not copy or reuse them without permission. This does not affect your ownership of Your Content under section 5.

10. Third-party services

The Service relies on third-party providers (such as Cloudflare, Resend, PostHog, Sentry, and Telegram) and may link to third-party sites. We are not responsible for the content or practices of third parties.

11. Disclaimer of warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Band Way will not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, recordings, or profits, arising from your use of the Service.

13. Indemnification

You agree to indemnify and hold Band Way harmless from any claims, damages, or costs arising out of Your Content, your use of the Service, or your breach of these Terms — including claims that Your Content infringes a third party’s rights.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users.

15. Governing law

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. Any disputes will be handled by the competent courts of Ukraine. If you are a consumer in the EEA or UK, this does not deprive you of the protection of mandatory consumer-protection laws of your country of residence.

16. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes means you accept the updated Terms.
